Disclosures

What we are, and what we are not.

Meridian Governance Partners provides governance advisory services to family offices, founder-led enterprises, private holding companies and families holding assets across more than one generation.

It is not an investment adviser. It does not provide investment advice. It does not manage assets. It takes custody of nothing.

It is the shape of the practice, it is enforced in the instrument the firm's work runs on, and nothing on this site in any language should be read as crossing it.

Specifically

The boundary, item by item.

No investment advice
The firm does not recommend, select, rate or opine on securities, funds, managers, assets or opportunities. It does not advise on allocation. It has no view, professional or otherwise, on whether an investment a family is considering is a good one.
No offer or solicitation
Nothing on this site is an offer to sell or a solicitation to buy any security, interest or product in any jurisdiction, and nothing on it should be read as one.
No asset management and no custody
The firm manages no money in any form and holds no client assets. It has no discretionary authority over anything, does not initiate transactions, and does not hold or move funds.
No performance claims
Nothing on this site states or implies a financial return, an increase in value, or a saving attributable to governance, because no such figure could be honestly attributed.
What the platform will not do
The Governance Operating System never scores investment merit. It governs how a decision is made, by whom and on what evidence, and it records the result. It expresses no opinion on the substance of any investment decision, and it is built so that it cannot. No client's records are used to train any model, and no client's records are visible to any other client.
No legal or tax advice
The firm is not a law firm and does not provide legal or tax advice. Governance instruments frequently carry legal and tax consequences, and those are matters for counsel and for accountants qualified in the relevant jurisdiction.
No client is identified
No client of this firm is named on this site, in any language, and none will be. Several would regard identification as a breach of the arrangement between us. The Calderwood Holdings case on the home page is a composite and is not a client.
Statistics
This site publishes no statistic it cannot attribute. Where a figure appears, its source and its method are stated beside it, and where neither could be stated honestly the figure has been left out rather than estimated.
Independence

How we are paid, and what we are not paid for.

Remuneration
The firm's remuneration is fixed in the engagement instrument before work begins. It is never contingent on a transaction, an allocation, the value of any asset or the outcome of any decision the family takes.
No referral payments
The firm receives no payment, commission or other benefit for introducing a family to any adviser, manager, product or provider, and pays none for being introduced.
Other interests
The partners hold interests in other businesses of NAH Group, which operate in property management and brokerage in Florida. None of those businesses provides services to a family under engagement with this firm without separate written disclosure and the family's consent.
Standing

Registrations and jurisdiction.

Meridian Governance Partners is a venture of NAH Group LLC, established in the State of Florida in the United States, and works with families internationally.

The firm holds no registration as an investment adviser, a broker, a bank, a trust company or a custodian in any jurisdiction, and holds itself out as none of those. Governance advisory services of the kind described on this site do not require such a registration, because none of the activities those registrations cover is performed.

Where a family's own jurisdiction regulates an activity the firm would otherwise perform, the firm declines that activity and says so rather than working around it.

Questions

If any of this needs testing.

Advisers to a family are welcome to test these statements before their client engages us, and several have. Use the contact page and say that the enquiry concerns disclosures.

If you believe the firm has acted outside the boundary described here, say so through the same page. A partner answers in writing, and the answer and the reasons for it are recorded.
